These Terms of Service ("Terms") form a legally binding agreement between you ("you", "User") and DebtZen ("DebtZen", "we", "us", "our"), governing your access to and use of the DebtZen mobile application and the website at www.debtzen.in (collectively, the "Service"). By creating an account, signing in, or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract under the Indian Contract Act, 1872. By using the Service you confirm that you meet these requirements. The Service is intended for users in India.

2. Your account

• You sign in using your mobile phone number with a one-time password (OTP).
• You are responsible for safeguarding access to the device and the SIM associated with the phone number you register with.
• You must provide accurate information. We may suspend or terminate accounts that use false information or impersonate another person.
• You may not share your account or transfer it to another person.

3. What the Service does

The Service allows you to track and visualise your personal financial information that you enter — loans, EMIs, income, expenses, investments, insurance, savings, physical assets, and goals. The Service:

• Stores your data in your account in Google Firebase (Mumbai, India).
• Computes summaries, projections, and net-worth views from data you enter.
• May offer optional paid features ("DebtZen Pro").

4. What the Service is NOT

• The Service does not connect to your bank, does not read your bank SMS, and does not access your credit bureau report.
• The Service does not issue loans, lend money, recommend specific lenders, or facilitate borrowing.
• The Service does not place trades, buy or sell securities, or recommend specific investment products.
• The Service does not provide individualised financial, tax, or legal advice.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, including money laundering, fraud, or tax evasion.
• Reverse-engineer, decompile, or disassemble the Service except where Indian law expressly allows it.
• Probe, scan, or attempt to breach the security of the Service or its infrastructure.
• Use the Service to upload viruses, malware, or harmful code.
• Scrape, copy, or republish content from the Service for commercial purposes without our written permission.
• Misuse our payment system or attempt to obtain Pro features without paying for them.

6. DebtZen Pro — paid subscription

Pricing for DebtZen Pro is displayed clearly within the application at the point of purchase. Prices are inclusive of applicable taxes unless stated otherwise. We reserve the right to change pricing; any such changes will be communicated via the app or your app store account.

6.1 Payment processing

Payments are processed securely via the Google Play Store Billing system. DebtZen never sees or stores your card number, CVV, UPI PIN, or banking credentials. Your purchase is subject to the Google Play Terms of Service and Privacy Policy.

6.2 Renewal and cancellation

• Pro subscriptions renew automatically at the end of each billing period unless you cancel before renewal.
• You can cancel at any time from Settings → Manage Subscription in the app, or by emailing debtzen.app@gmail.com.
• If you cancel, your Pro features remain active until the end of the period you have already paid for; you will not be charged again.

6.3 Refunds

Refunds are governed by our Refund Policy. By default, fees for any partial billing period are non-refundable, but we will consider exceptional circumstances on a case-by-case basis.

7. Your data

How we collect, use, and protect your data is described in our Privacy Policy. By using the Service you consent to the practices described there.

8. Intellectual property

The Service, its content (excluding data you enter), software, design, trademarks, and logos are owned by DebtZen or our licensors. You receive a personal, limited, revocable, non-transferable, non-exclusive licence to use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Service.

You retain ownership of the financial data you enter into the Service. You grant DebtZen a limited licence to store, process, and display that data solely to provide the Service to you.

9. Third-party links and services

The Service may contain links to third-party websites or services (for example, partner insurance comparison sites). We do not control these third parties and are not responsible for their content, availability, terms, or privacy practices. Your use of those services is at your own risk.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF FINANCIAL CALCULATIONS, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that calculations will perfectly reflect your real-world financial position. Calculations depend on the data you enter; garbage in, garbage out.

11. Limitation of liability

To the maximum extent permitted by Indian law:

• DebtZen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, savings, data, goodwill, or business opportunity, arising out of or related to your use of the Service.
• Our aggregate liability for any claim relating to the Service shall not exceed the greater of (i) the amount you paid us for Pro subscriptions in the 12 months preceding the claim, or (ii) ₹1,000.
• You agree that no decision relating to borrowing, lending, investing, taxes, or financial planning was made solely on the basis of the Service.

12. Indemnification

You agree to indemnify and hold DebtZen, its directors, employees, and agents harmless from any claim, demand, or damages, including reasonable attorneys' fees, arising out of (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, or (c) any content you submit through the Service.

13. Suspension and termination

• You can stop using the Service at any time by deleting your account from Settings → Delete Account.
• We may suspend or terminate your account, with or without notice, if you violate these Terms, breach applicable law, or pose a risk to the Service or other users.
• Upon termination, all licences granted to you under these Terms cease, and the data-deletion process described in our Privacy Policy will run.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top will reflect the most recent version. Material changes will be communicated to you via in-app notification or email at least 7 days before they take effect, where reasonably practicable. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

15. Governing law and dispute resolution

• These Terms are governed by and construed in accordance with the laws of India.
• Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved amicably between the parties.
• If the dispute is not resolved within 30 days of written notice, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent, the seat shall be Bengaluru, India (or such other Indian city as we may notify), and the language shall be English.
• Subject to the arbitration clause above, the courts at Bengaluru, India shall have exclusive jurisdiction over any matter arising from these Terms.

16. Force majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government action, war, civil unrest, network outages, hosting-provider failures, or third-party payment-gateway downtime.

17. Severability and waiver

If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any provision is not a waiver of that or any other provision.

18. Entire agreement

These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and DebtZen regarding the Service and supersede any prior agreements.

19. Grievances and contact

For any grievance, including disputes about subscription billing or data handling, contact our Grievance Officer in line with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act, 2023.
